Ferring agrees to buy fertility biotech Gameto in deal worth up to $1.38bn

The Swiss reproductive medicine specialist is buying a company whose stem cell-based egg maturation product is in US Phase 3. It is one of the larger women's health deals of the year and a commercial-stage pharma doubling down on its core area.

Ferring Pharmaceuticals has agreed to acquire Gameto in a deal worth up to $1.3825 billion, subject to development, regulatory and commercial milestones. The agreement was announced on 27 October. Neither company has disclosed the upfront payment, and the two will run independently until the deal closes.

What Ferring is buying

Gameto's lead product, Fertilo, uses ovarian support cells derived from stem cells to mature eggs outside the body. BioPharma Dive reports that the company says this could remove the need for hormone injections and shorten IVF and egg-freezing cycles to as little as three days, compared with roughly two weeks of daily injections in standard IVF. Fertilo is already cleared in Australia and parts of Latin America, and a Phase 3 trial is under way in the US. The in vitro maturation programme is investigational in the US and not approved by the FDA.

Gameto has two other programmes: Deovo, an in vitro model of the female reproductive system for drug development, and Ameno, a cell therapy intended to delay the onset of menopause. BioPharma Dive says Gameto has raised $127 million since it was founded in 2020.

Why Ferring

Ferring has worked in reproductive medicine for more than 50 years, according to chairman and CEO Jean-Frédéric Paulsen. The company has operating subsidiaries in more than 50 countries and sells its medicines in over 100. Buying Gameto gives it a cell-based technology that could change how IVF cycles are run, rather than another hormone product, and a global commercial footprint to take it to market if the US trial succeeds.

The bigger picture

A milestone-heavy deal for a Phase 3 fertility asset shows that specialist commercial-stage pharma is willing to pay for differentiated science in its own niche, not just follow the money into the busiest therapy areas. With the upfront undisclosed, how much of the headline value is actually paid will depend on the US Phase 3 and on regulators. For a product like Fertilo, a buyer that already sells into fertility clinics worldwide could make a real difference to how quickly it scales.

What it means for hiring

  • Taking a cell-based product through a US Phase 3 and towards an FDA filing points to demand for regulatory affairs leaders with cell therapy or advanced therapy experience, a different profile from traditional reproductive medicine teams.
  • If Fertilo reaches the US market, Ferring will need medical affairs, market access and commercial people who understand fertility clinics as customers. We'd expect that work to start well before approval.
  • Folding a venture-backed biotech into an established pharma is a culture job as much as a process one. Retaining Gameto's scientific and clinical leaders is likely to be a priority.
