Astellas commits $285m in near-term payments for option on Audax's IL-12 fusion

Astellas has signed an option and licence deal worth up to $1.34bn for a preclinical immuno-oncology programme from Melbourne's Audax Biosciences. It is another big pharma bet placed well before first-in-human data.

Astellas Pharma and Australian biotech Audax Biosciences have signed an exclusive option and licence agreement for DAX-044, an immune-targeted IL-12 antibody-cytokine fusion for cancer. The deal was announced on 28 October and is worth up to $1.34 billion before royalties.

The terms

Audax receives upfront and potential option-exercise payments totalling $285 million. The split between the two has not been disclosed. On top of that, it is eligible for up to $1.05 billion in development and commercial milestones and tiered double-digit royalties on worldwide sales if the drug is approved. Exercising the option is subject to customary conditions, including antitrust clearance.

Until then, Audax stays in charge. It will fund development of DAX-044, which is currently in IND/CTN-enabling work, through to a Phase 1 study expected to start in 2027. If Astellas exercises its option, it takes on global development, manufacturing and commercialisation, while Audax keeps the choice to co-fund and co-promote in Australia and New Zealand.

Why IL-12

IL-12 is an immune-activating cytokine, and the release acknowledges that systemic toxicity has historically held back IL-12-based therapies. DAX-044 is built with Audax's AVIKINE technology to concentrate that activity inside the tumour microenvironment rather than across the whole body. Audax says preclinical data point to a potentially best-in-class therapeutic index for an IL-12 agent, and that it has further AVIKINE programmes in its preclinical portfolio.

"DAX-044 is a promising investigational immuno-oncology program with a differentiated mechanism..." Takahiko Iwaya, Chief Strategy Officer, Astellas

Who's behind it

Audax is based in Melbourne and led by chief executive Jai Rautela. For Astellas, the option structure limits spend before clinical data while securing rights to an asset it likes. The same week, Astellas also announced that China's NMPA had accepted its application for Veoza (fezolinetant) in menopausal hot flushes.

The bigger picture

Option-to-licence deals let pharma lock in early assets without carrying the full development cost, and they give small biotechs meaningful non-dilutive money. For an Australian company, the structure also keeps a local commercial role. With Phase 1 not due until 2027, this is a long-dated bet, but the $285 million near-term figure shows how much large companies will pay for differentiated immunology platforms.

What it means for hiring

  • Audax now has to run IND/CTN-enabling work and a first-in-human study on Astellas's timeline. We'd expect it to need translational, CMC and clinical operations leaders with antibody-cytokine or biologics experience.
  • Option deals put alliance management at the centre of the relationship well before the option is exercised. Experienced alliance and project leaders who have managed big pharma partners are a likely hire on both sides.
  • Astellas's search and evaluation team keeps finding assets outside the US and Europe. BD people with Asia-Pacific networks remain valuable to Japanese and global pharma.
